# Terms and Conditions

These Terms and Conditions ("Terms") govern your access to and use of Smart Headshots AI, an AI headshot service operated by **CodeBucks**, a sole proprietorship based in Gujarat, India ("Smart Headshots AI", "CodeBucks", "we", "us", or "our").

By accessing the Service, creating an account, uploading content, or continuing to checkout, you agree to these Terms, our [Privacy Policy](/privacy), our [Refund Policy](/refund), and any order-specific terms shown at checkout. If you do not agree, do not use the Service.

## 1. The Service

Smart Headshots AI creates synthetic, professional-style headshots from photographs you provide. It is an automated digital service, not a photography studio, identity-verification service, employment service, or professional adviser.

The Service may include photo screening, creation of a private session-specific AI model, style selection, image generation, gallery delivery, downloads, a contractual rerun, and customer support. Packs, tiers, prices, output counts, resolution, delivery estimates, and availability are described on the Service at the time of your order.

We may improve or change the Service, but a change will not retroactively reduce the paid output, refund, or rerun rights attached to an existing order.

## 2. Eligibility and authority

You may use the Service only if:

- you are at least 18 years old and have legal capacity to enter into these Terms;
- you use the Service only for lawful purposes;
- the account, order, and payment information you provide is accurate; and
- applicable law does not prohibit you from receiving the Service.

You must not upload a photograph of anyone under 18.

You may upload only:

1. photographs of yourself; or
2. photographs of another adult who has given informed, express permission for you to submit their likeness to this Service and for the AI processing described in our Privacy Policy.

If you purchase for another adult, you represent and warrant that you are authorised to provide their photographs and accept these Terms for the requested processing. You are responsible for retaining evidence of any required permission.

## 3. Your account

You are responsible for protecting access to your email account, sign-in codes, devices, and active sessions. You must promptly notify [support@smartheadshots.ai](mailto:support@smartheadshots.ai) if you believe an account or gallery has been accessed without permission.

You must not share an account in a way that defeats security controls, permits unauthorised access to another person's photographs, or bypasses a plan or order limit.

## 4. User Content and licence to operate the Service

"User Content" means photographs, selections, prompts, feedback, support messages, and other content you submit.

You retain the rights you have in User Content. You grant CodeBucks and its service providers a limited, worldwide, non-exclusive, royalty-free licence to host, copy, analyse, validate, caption, modify, transmit, store, and otherwise process User Content solely as reasonably necessary to:

- provide, secure, troubleshoot, and support the Service;
- screen submitted photographs;
- train the private model for your session and generate the ordered headshots;
- deliver and store your gallery during the stated retention period;
- investigate fraud, abuse, security incidents, disputed transactions, reruns, and refunds;
- enforce these Terms; and
- comply with law.

The licence ends when the relevant User Content is deleted, except for residual provider copies and limited records lawfully retained for security, legal compliance, disputes, or claims as described in the Privacy Policy.

We will not use your photographs or private session model to train a public or shared Smart Headshots AI model without separate permission.

You represent and warrant that:

- you own or have all rights, permissions, releases, and consents needed for the User Content and requested processing;
- the User Content does not violate privacy, publicity, intellectual-property, contractual, or other rights;
- the User Content is accurate where accuracy matters and is not submitted deceptively; and
- the User Content does not contain malware, harmful code, or unlawful material.

## 5. AI-generated headshots and your usage rights

The delivered headshots are generated by artificial intelligence. They may contain artefacts, inaccuracies, inconsistent details, or features that differ from the subject. Results depend materially on the quality, variety, framing, lighting, and suitability of source photographs.

As between you and Smart Headshots AI, you own the delivered headshots, subject to applicable law and the limitations of copyright protection for AI generated material. Subject to payment and compliance with these Terms, we grant you a worldwide, non-exclusive, perpetual, royalty-free licence to use, reproduce, edit, display, publish, and commercially use delivered headshots. To the extent CodeBucks owns transferable rights in a delivered headshot, CodeBucks assigns those rights to you upon full payment, subject to these Terms.

The licence to delivered headshots ends if the order is refunded.

AI-generated material may not qualify for copyright or exclusive rights in every jurisdiction. We do not warrant that an output is copyrightable, unique, suitable for every purpose, or free from all possible third-party claims. You remain responsible for checking whether your intended publication or use is lawful and appropriate.

Delivered headshots include embedded IPTC/XMP metadata marking them as AI generated and crediting Smart Headshots AI. You must not remove or falsify this provenance information. Where a law, platform, employer, publisher, or recipient requires AI disclosure, you must keep that metadata or otherwise provide the required disclosure.

Generation may rely on third-party AI models. To the extent a third-party model applies to your order, your use of the delivered headshots is also subject to that model provider's then-current terms and use restrictions, which pass through to you. This currently includes the [Black Forest Labs terms](https://blackforestlabs.ai/terms-of-service/).

## 6. Prohibited use

You must not, and must not help another person to:

- upload photographs of minors;
- upload another adult's likeness without their informed, express permission;
- create or distribute non-consensual intimate imagery, sexual content involving a real person, harassment, hate content, extreme violence, or other unlawful or abusive material;
- create deceptive deepfakes, impersonate another person, manufacture a false identity, or misrepresent authority, qualifications, events, or endorsements;
- use an output for an identity document, identity check, biometric authentication, law-enforcement purpose, surveillance, or fraud;
- use the Service for scams, phishing, financial crime, political deception, disinformation, or false online engagement;
- make a legal or similarly significant decision about another person in employment, housing, credit, insurance, healthcare, education, or another high-impact area based on an output;
- violate intellectual-property, privacy, publicity, confidentiality, contractual, or other rights;
- upload malicious code or interfere with, overload, probe, scrape, reverse engineer, or circumvent the Service, its security, payment controls, rate limits, or retention controls;
- use the Service, private model, or output to train, benchmark, or build a competing model, dataset, or service without our written permission; or
- use the Service in violation of sanctions, export-control, consumer-protection, privacy, or other applicable law.

We may reject or remove User Content, refuse an order, restrict access, preserve relevant evidence, or cooperate with lawful authorities where reasonably necessary to enforce these Terms, protect people or systems, respond to provider requirements, or comply with law.

## 7. Orders, prices, taxes, and Dodo Payments

Each headshot session is a one-time purchase. The Service is not a subscription.

The applicable tier, price, currency, taxes, and order details are shown before payment. Displayed prices may exclude tax; Dodo Payments calculates and collects applicable tax at hosted checkout based on the transaction and information provided.

Dodo Payments acts as merchant of record and legal seller for the payment transaction. It handles hosted checkout, payment processing, tax collection and remittance, invoices, fraud controls, disputes, chargebacks, and refunds under its terms and privacy notice. CodeBucks operates and fulfils the Smart Headshots AI Service. We do not receive or store your complete payment-card number.

We may decline or cancel an order before delivery where there is a pricing or product error, payment failure, suspected fraud, legal restriction, provider restriction, security risk, or material violation of these Terms. If we cancel a paid order before delivery for a reason attributable to us and do not provide the ordered Service, the amount paid for that order will be refunded.

## 8. Immediate performance and cancellation rights

Fulfilment is automated and may begin immediately after payment. By placing an order, you expressly request that we begin providing the personalised digital Service during any otherwise applicable cancellation or withdrawal period.

Where applicable law permits a withdrawal right to be reduced or lost after digital supply begins or the Service is fully performed, you acknowledge that consequence to the extent permitted by law. This clause does not remove rights relating to non-conforming, faulty, misdescribed, or undelivered services and does not limit any right that cannot lawfully be waived.

## 9. Delivery

Delivery and turnaround times are estimates, not guarantees. Delay may result from unsuitable source photographs, payment verification, rerun review, provider outages, capacity, maintenance, security checks, or events outside our reasonable control.

"Delivery" occurs when our Service records the gallery as delivered and makes it available in your account. You are responsible for downloading any headshots you want to retain before the gallery expires or is deleted.

If a paid order cannot be delivered because of a verified failure attributable to the Service, the remedies in the Refund Policy apply.

## 10. Reruns and refunds

Our [Refund Policy](/refund) forms part of these Terms. It describes:

- the contractual seven-day full-refund window measured from delivery;
- the one included rerun for Professional and Executive orders;
- the direct refund path for Starter orders;
- the requirement to keep the complete set of source photographs available while a request is assessed; and
- how an approved refund is returned through Dodo Payments.

Nothing in these Terms or the Refund Policy limits a consumer guarantee, refund right, cancellation right, or other remedy that cannot lawfully be excluded.

## 11. Privacy

Our [Privacy Policy](/privacy) explains how we collect, use, disclose, and retain information. You acknowledge that cloud, payment, email, storage, and AI providers process information as necessary to provide the Service and under their applicable terms.

## 12. Our intellectual property

CodeBucks and its licensors own the Service, including its software, workflows, prompts, website, visual design, branding, documentation, and underlying technology, excluding your User Content and the rights expressly granted to you in delivered headshots.

We grant you a limited, personal, non-transferable, revocable right to access the Service in accordance with these Terms. No other right is granted by implication.

If you send feedback, suggestions, or ideas, you grant CodeBucks a worldwide, royalty-free, perpetual right to use them without compensation or confidentiality obligation. We will not publicly identify you as the source without permission.

## 13. Third-party services and availability

The Service depends on third-party infrastructure and AI providers. Their availability, models, rules, licences, processing time, and functionality may change. We may replace a provider or model when reasonably necessary to continue, secure, or improve the Service.

We may maintain, change, suspend, or discontinue all or part of the Service for operational, security, legal, provider, or business reasons. We will use reasonable efforts to address material interruptions affecting a paid order, but we do not guarantee continuous or error-free availability.

## 14. Suspension and termination

We may restrict or terminate access where we reasonably believe there is fraud, payment abuse, a security risk, unlawful conduct, unauthorised likeness use, a material breach of these Terms, or a legal or provider requirement.

Where reasonably possible, we will provide notice and an opportunity to correct a remediable issue. We may act immediately where delay could cause harm, violate law or provider terms, compromise security, or expose another person without consent.

You may request account deletion from the dashboard. The Privacy Policy explains the 30-day cancellation period and deletion process.

## 15. Disclaimers

To the maximum extent permitted by law, the Service and generated headshots are provided "as is" and "as available".

We do not guarantee that:

- every uploaded photograph will be accepted;
- generated headshots will match your subjective preferences or be free of artefacts;
- a headshot will produce employment, business, dating, social-media, professional, or other outcomes;
- the Service will always be available, uninterrupted, secure, or error-free; or
- an output will be copyrightable, exclusive, or suitable for every legal or platform requirement.

Nothing in these Terms excludes a warranty, condition, consumer guarantee, or remedy that cannot lawfully be excluded.

## 16. Limitation of liability

To the maximum extent permitted by law, CodeBucks and its suppliers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost business, lost data, loss of goodwill, or loss of opportunity arising from or related to the Service.

To the maximum extent permitted by law, our aggregate liability for claims arising from a particular order or use of the Service will not exceed the amount paid for the order or Service giving rise to the claim.

Nothing in these Terms limits liability that cannot lawfully be limited, including liability for fraud or wilful misconduct, and nothing limits a mandatory consumer remedy.

## 17. Indemnity

To the extent permitted by law, you will indemnify and hold CodeBucks harmless from third-party claims, losses, liabilities, damages, and reasonable costs arising from:

- User Content you submit without the necessary rights or consent;
- your unlawful or prohibited use of the Service or an output;
- your material breach of these Terms; or
- your infringement of another person's rights.

This obligation applies only to the extent caused by your conduct and does not limit non-waivable consumer rights.

## 18. Governing law and disputes

These Terms are governed by the laws of India.

The courts of competent jurisdiction in Gujarat, India have jurisdiction over disputes arising from these Terms or the Service. If you are a consumer, this clause does not remove a mandatory consumer-protection right, governing law, or forum right available in your country of residence that cannot lawfully be waived.

Before beginning formal proceedings, please contact [support@smartheadshots.ai](mailto:support@smartheadshots.ai) and give us a reasonable opportunity to investigate and resolve the issue.

## 19. Changes

We may update these Terms when the Service, providers, law, or our business practices change. We will post the revised Terms and update the "Last Updated" date. Where required by law, we will give additional notice.

A change will not retroactively reduce the refund or rerun rights applicable to an order you already paid for.

## 20. General

If a provision is unenforceable, it will be limited or removed only to the minimum extent necessary, and the remaining provisions will continue. Our failure to enforce a provision is not a waiver.

You may not assign these Terms without our written consent. We may assign them in connection with a restructuring, financing, merger, acquisition, or sale of the business, subject to applicable law.

These Terms, the Privacy Policy, the Refund Policy, and order-specific terms shown at checkout form the entire agreement between you and CodeBucks concerning the Service.
